Our lawyers have extensive experience defending issuers, directors, officers, attorneys, and other professionals in class action and individual securities fraud lawsuits in state and federal courts in Texas. We have also represented issuers, broker-dealers, and individual investment representatives in arbitration before the New York Stock Exchange, the National Association of Securities Dealers, and the American Arbitration Association. We handle state and federal statutory claims (including claims under Rule 10b-5, §§10, 11, and 12, RICO, the Texas Deceptive Trade Practices Act, and the Texas Securities Act), as well as Texas common law claims for breach of fiduciary duty, tortious interference, fraud, negligent misrepresentation, negligent hiring and supervision, and wrongful termination.
Representative matters include:
- Defending a medical technology manufacturer against securities fraud claims in federal district court, achieving a favorable settlement before trial.
- Defending a private equity firm against securities fraud claims under both federal and state securities statutes in Texas district court, resulting in a favorable settlement from our client.
- Defending a venture capital firm in superior court in Los Angeles against fraud and misrepresentation claims relating to the firm’s acquisition of an Austin high tech company. We successfully challenged jurisdiction in the California court and won a dismissal of all claims.
- Defending a venture capital firm in a securities fraud class action in federal court in Chicago relating to the business failure of a competitive local exchange carrier. The case was successfully resolved by settlement.
- At the pleading stage, winning a dismissal with prejudice in federal district court of a securities fraud class action brought against an Austin company.
- Convincing plaintiffs in Texas district court to nonsuit their securities fraud claims against a mortgage company and its directors and officers by discrediting the damages testimony of their expert witness.
- Successfully defending several major law firms in securities cases.
- Defending a technology company and obtaining a favorable settlement of securities fraud claims in a class action suit.
