The firm’s Technology Practice Group serves clients in the computer and electronic technology industries, including telecommunications firms, e-commerce and internet companies, technology services and outsourcing firms, imaging products and services companies, and computer and electronic companies. We also assist a wide variety of companies and institutions in other industries with technology-related transactions and legal work involving data privacy and technology-related acquisitions, purchases, and other contracts. Our clients include local, national, and international technology companies of all sizes. We welcome promising start-ups with an entrepreneurial attitude and flexible fee structures.
Our lawyers have relationships with numerous venture capitalists and work with start-ups in legal formation and venture financing at all levels. We have experience with local, national and international venture financing deals. We draft and negotiate provider and customer contracts, design employee stock option plans, and handle other internal corporate matters. We have expertise in state sales and use tax issues and provide opinion of counsel letters on these and other issues in connection with refinancing and reorganization, as well as asset and stock sale and purchase deals.
Our intellectual property experience allows us to assist clients not only with issues of trademark, trade name, domain name, copyright, trade secret and confidential information analysis, registration, and protection, but also with the wide range of transactions that involve those properties and rights, including license, transfer and distribution agreements, subscription agreements, outsourcing agreements, consulting agreements, confidentiality agreements, and development agreements. We provide clients with website design and development agreements, hosting agreements, portal agreements, linking agreements, content provision and security and filtering agreements, internet advertising agreements, and other electronic commerce-related agreements.
We also advise clients on information privacy and security issues, outsourcing and services transactions, healthcare IT and privacy matters, and agreements for the purchase or lease of hardware, software, imaging technologies and services, and related transactions.
We represent technology clients in connection with state government, including competitive bidding, government procurement, and legislative activities. Our lawyers also represent technology clients in connection with routine employment issues, including at-will and term employment agreements, severance agreements, as well as formation of employee stock option plans, ownership of inventions, nondisclosure and non-competition agreements for sale.
